STANDARD TERMS & CONDITIONS

Definitions

The Company means WFO Group and any sub-contractor for the company. In-house course/event means educational offered by WFO Group for an individual corporate customer at a location specified by the customer.

Public course/event means educational courses/events offered by WFO Group at locations specified within the course/event booking details.

Consulting means professional advice offered by WFO Group at locations specified by the customer.

Product means anything manufactured by WFO group.

Customer means the person, firm or corporation identified as enrolling a Delegate on a Public course/event by way of a relevant written confirmation of enrolment.

Confirmation means a legally binding contract instructing WFO Group to invoice the customer.

Delegate means a person attending a Public or In-house course/event.

Course/event Materials means any documentation, listings instructions and statements in either machine-readable or printed form.

Working Day means every day of the week excluding Saturday, Sunday and UK statutory holidays.

General

These conditions shall be deemed to be incorporated in all contracts and in the case of any inconsistency with any order or letter or correspondence sent by the customer to WFO Group or any other communication between the customer and WFO Group whatever may be their respective dates and the provisions of these conditions shall prevail unless expressly varied in writing and signed by a director on behalf of WFO Group. If WFO Group chooses not to enforce any of the conditions of these conditions this shall not affect the rights of WFO Group under the remainder. If in any particular case any of these conditions shall be held to be invalid or shall not apply to the contract the other conditions shall continue in full force and effect. None of WFO GroupÕs course/event and support materials or advertising and marketing materials, held in any form whatsoever, may be used, re-used, sold or re-sold, by any company, customer or individual, without the express permission of WFO Group.

Products

All Products remain the property of WFO until they have been paid for.

Warranty

WFO Group warrants that all Public and In-house courses/events and consulting supplied hereunder will be conducted in a professional manner in accordance with generally recognised practices and standards. WFO Group warrants that it will provide appropriately qualified and experienced trainers, facilitators and consultants to deliver WFO Group Public and In-house courses/events, facilitation and consulting using suitable materials, including course/event materials. WFO Group warrants that it will not knowingly include any copyright material in its course/event material without a license or without the consent of the copyright owner. All WFO Group materials, of any kind, are subject to copyright which will be strenuously protected. WFO Group warrants that all personnel provided by WFO Group are employees of or contracted to WFO Group.

Extent of Services

WFO Group reserves full control of how its personnel will carry out its professional services.

The contents of course/event schedules are intended for general guidance only and do not form any part of a contract and WFO Group reserves the right to make any reasonable variations to the Public and In-house courses/events (including the content of the courses) without notice. Any typographical clerical or other error or omission in any sales literature, administrative documentation, course/event Materials, invoice or other document or information issued by WFO Group shall be subject to correction without any liability on the part of WFO Group.

All Public and In-house courses/events are delivered solely in the English language and all delegates must be sufficiently proficient with the English language before attending.

Authorisation and Obligations of the Customer All bookings for Public and In-house courses/events must be supported by written confirmation.

The customer certifies that unless otherwise notified to and agreed with WFO Group all delegates attending a Public or In-house course/event are employed directly by the customer.

In all cases the customer undertakes to bring these terms and conditions to the attention of the delegates attending a Public course. All delegates must be suitably qualified and experienced to attend the Public course/event in accordance with its published prerequisites. Costs For Public courses, course/event costs are inclusive of course/event materials, tuition, and examination fees and also includes the reasonable use of materials, publications and machines (where applicable and where specific permission is granted) by the delegate solely for the period of the course.

Meals and other refreshment costs will not be included in the course/event costs unless it is specifically stated to the contrary.

The course/event cost does not include any travel, accommodation or living expenses which the delegate may incur by attending the course.

In-House course/event costs include course/event materials and tuition. For examination based courses/events there is an additional charge per delegate, for examination fees, licensed materials and accreditation fees.

The course/event cost does not include any travel, accommodation or living expenses which WFO GroupÕs staff may incur by attending the course, and will therefore be the subject to additional cost.

Prices quoted exclude VAT or other sales taxes which will be added at the current rate. Where a delegate is attending a Public course/event in the UK, regardless of the delegate's country of origin, the point of supply for VAT purposes is the location of the course.

WFO Group reserves the right to charge interest on late payments at 2.5% over bank base rate.

Payment Terms

WFO Group will raise an invoice upon receipt of a Confirmation Order.

Substitutions, Transfers and Cancellations by the Customer

The customer may substitute a delegate on a Public course/event upon notification, at no additional charge, subject to the new delegate meeting the course/event prerequisites.

In normal circumstances, a provisional booking will be held on WFO Group's booking system for no more than 3 working days.

Cancellations and Transfer Policy

If you cancel your Public course/event booking the following will apply:
More than 28 days prior to start date = 50% of Total Course/event Cost
28-14 working days prior to start date = 75% of Total Course/event Cost
Less than 14 working days prior to start date = 100% of Total Course/event Cost

If you transfer your Public course/event booking to another available WFO Group Course/event the following will apply:
More than 28 days prior to start date = No charge
28-14 working days prior to start date = £150 Transfer Cost
Less than 14 working days prior to start date = 50% of Total Course/event Cost

If you cancel your In-house course/event booking the following will apply:
More than 28 days prior to start date = No charge
28-14 working days prior to start date = 50% of Total Course/event Cost
Less than 14 working days prior to start date = 100% of Total Course/event Cost

All pre-attendance Course/event Packs already dispatched will be charged for.

Cancellations and changes to Public courses/events by WFO Group
WFO Group reserves the right to cancel or change a Public or In-house course/event and undertakes to provide reasonable notice of the cancellation or change except in an emergency.

WFO Group will make every effort to re-schedule any cancelled course/event wherever possible and it remains economically viable.

The customer will be entitled to seek a refund of any fee paid to WFO Group in the event of a cancellation or any change to the course/event date which cannot be reasonably re-scheduled or significant change in venue but shall not otherwise be entitled to compensation or costs or damages arising from such a cancellation.

Prerequisites and Admission

WFO Group reserves the right to refuse or curtail the provision of training services if a delegate or substitute delegate attending on behalf of the customer fails to satisfy the requirements of a Public course/event as published.

WFO Group reserves the right to refuse admission to any person whom it considers in its absolute discretion to be unsuitable for admission to any course/event or to WFO Group premises or any training venue, or to remove any such person after the commencement of a Public course.

Copyrights

Copyright and all intellectual property rights for all Course/event Materials shall remain the property of WFO Group.
The Customer agrees not to reproduce, sell, hire or copy Course/event Materials (in whole or in part) and not to use such materials except for the purposes of post course/event reference.

Assignments

WFO Group may assign all or part of its interest in this Agreement.
The customer may not assign or transfer this contract or any interest therein or claim there under without the prior written approval of WFO Group.

Force Majeure

WFO Group shall not be in breach of this contract if there is any total or partial failure of performance by it of its duties and obligations under this contract occasioned by any act of God, fire, act of government or state, war, civil commotion, insurrection, embargo, prevention from or hindrance from obtaining any raw materials or energy, sickness or other cause beyond its reasonable control.

If WFO Group is unable to perform its duties and obligations under this contract as a direct result of the effect of one or more of such causes that WFO Group shall give written notice to the customer of such inability stating the cause in question. The operation of these conditions shall be suspended during the period in which the cause continues to have effect.

Forthwith upon the cause ceasing to have effect WFO Group shall give written notice thereof to the customer.

Limits of Liability

WFO GroupÕs entire liability and that of its employees, training staff and consultants and the customer's sole remedies in respect of any claim, shall be as set out in this clause unless otherwise expressly stated. The customer's remedy in respect of any claim shall be limited to damages. WFO Group will not accept liability for death or personal injury or the loss of or damage to personal property of any kind.

Non-procurement

The customer agrees that if within a period of six months after the attendance of a delegate on a Public or In-house course/event the customer shall entice or procure any person to leave WFO Group employment or to terminate a contract for services with WFO Group it will make a payment to WFO Group equivalent to 50% of the employee's gross annual remuneration at the date of termination.

Personal Belongings including Vehicles

Vehicles, Personal belongings of any kind and items belonging to or in the possession of the customer or delegate brought onto WFO Group premises are the sole responsibility of the owner and WFO Group accepts no responsibility for any such items.

Governing Law and Jurisdiction

The validity construction and performance of these Terms and Conditions are for convenience only and shall not affect the construction thereof.

The terms and conditions contained herein comprise the entire agreement between the parties and supersede any prior written or oral agreement between them relating to the subject matter hereof and the parties hereto confirm and agree that they have entered into this agreement on that basis and not in reliance upon or by reason of any other agreement condition representation or warranty (collateral or otherwise) not expressly incorporated in this agreement.

This agreement is governed by the laws of England and Wales and each party hereby submits to the exclusive jurisdiction of the courts of England and Wales over all matters and disputes arising from or connected with the subject matter of this agreement or its existence.

Miscellaneous

WFO Group shall provide, free of charge, for a period of three months next after the day on which the course/event actually commenced, an email support facility to the individuals who attended the course/event in relation to the matters covered in the course/event and will use its reasonable endeavours to respond to any enquiry so made within three working days of any request for assistance.

If a delegate fails to arrive at the training venue within 30 minutes of the designated start time of the course/event then WFO Group reserve the absolute right to decline to permit them to attend the course. If a delegate whilst at or in the vicinity of the training venue become engaged in or associated with any disruptive or anti-social behaviour (which includes smoking other than in designated areas), WFO Group may require them to leave forthwith or may decline to permit them to attend or resume attendance on the course.

In the event that WFO Group so exercises any such a discretion, no refund shall be made to the customer.

If the customer is dissatisfied with the course/event in any way, the customer must notify WFO Group in writing within seven days after course/event completion.

Acceptance of these Terms and Conditions form the formal legal basis of any and all agreements and contracts made between the customer and WFO Group, and are legally binding.
